Production=20 Metering Agreement for

Power=20 Generation Facilities

(25 Kilowatts or = less)

THIS AGREEMENT, between &nbs= p; =20 ______ &nbs= p; =20 (Customer) and Tacoma Power, bears the following=20 recitals:

1. =20 Customer=20 intends to own and/or operate an electric power generation facility = using a=20 renewable energy system as defined by SB 5101 - =93Renewable energy system = means a solar=20 energy system, an anaerobic digester as defined in RCW 82.08.900, or a = wind=20 generator used for producing electricity=94 to produce power. Customer = desires to=20 operate such generation in parallel with Tacoma Power=92s system = in order=20 to qualify for state approved incentive payments for a portion or all of the renewable = energy=20 produced. Tacoma Power has no direct financial involvement in the = investment,=20 construction, operation, or maintenance of Customer=92s generation=20 facility.

4. =20 Tacoma Power is willing to permit Customer to operate its = generation=20 facility in parallel with its system under certain conditions for the = purposes=20 of delivering power to Tacoma Power.

5. =20 Tacoma Power will facilitate payments to Customers for = electricity=20 delivered in accordance with and at the payment level(s) set forth in SB = 5101=20 and codified in RCW 82.16.

NOW, THEREFORE, the Customer and = Tacoma Power=20 agree to the following:

6. =20 Customer=20 shall be fully responsible for the costs and performance of designing,=20 installing, owning, operating, and maintaining = Customer=92s:

a. =20 Generating facility in accordance = with the=20 requirements of all applicable laws, rules, codes, and regulations, and = the=20 directives of all governmental agencies having=20 jurisdiction;

b. =20 Control=20 and protective devices as required by the Tacoma Power for the safe = parallel=20 operation of Customer=92s generation facility with the Tacoma Power=92s = system;=20 and

c. =20 Interconnection facilities on = Customer=92s=20 premises as may be required to deliver power from Customer=92s = generation=20 facilities to the agreed point of interconnection with the Tacoma = Power=92s=20 system.

7. =20 In the=20 event it is necessary for Tacoma Power to install any special or = additional=20 interconnection facilities, including control or protective devices, = time of=20 delivery metering, and reinforcement of its system to receive or to = continue to=20 receive the power delivered under this Agreement, Customer shall = reimburse=20 Tacoma Power for its costs associated with the installation of such=20 facilities.

8. =20 Customer=20 shall submit equipment specifications and detailed plans to Tacoma Power = for the=20 installation of its interconnection facilities, control and protective = devices,=20 and facilities to accommodate Tacoma Power=92s meters for review and = advance=20 written approval prior to their actual = installation.

9. =20 Customer=20 agrees not to operate its generator in parallel with Tacoma Power=92s = system until=20 the installation has been inspected by authorized Tacoma Power = representatives=20 and final written approval is received from Tacoma Power to commence = parallel=20 operations.

10. = Tacoma Power=92s approvals = described in this=20 Agreement shall not be construed as any warranty of safety, durability, = or=20 reliability of Customer=92s generation service facilities or its control = or=20 protective devices.

11. = Tacoma Power shall have the=20 right:

a. =20 To enter=20 the Customer=92s premises at any time for the inspection of Customer=92s = protective=20 devices and for reading and testing of meters,

b. =20 To enter=20 Customer=92s premises at reasonable times to disconnect the = interconnection for=20 purposes of maintenance, and

c. =20 To enter=20 Customer=92s premises at any time and to disconnect without notice the=20 interconnection facilities if, in Tacoma Power=92s opinion, a hazardous = condition=20 exists and such immediate action is necessary to protect persons, or = Tacoma=20 Power=92s facilities, or other customer=92s facilities from damage or = interference=20 caused by Customer=92s generator, or lack of properly operating = protective=20 devices.

12. = Customer agrees to make no change = in its=20 generation facility or protective devices without the prior written = consent of=20 Tacoma Power.

13. = Tacoma Power shall not be liable = for any loss=20 or damage to property or bodily injuries to or death of persons, whether = suffered by the Customer, its agents or employees, or by any third = person,=20 persons or corporations, resulting from the location, use, or operation = of=20 electrical or other equipment located on the customer=92s side of the = point of=20 delivery, or from electric energy present therein or escaping therefrom.

14. = The Customer shall indemnify Tacoma = Power,=20 its officers, agents, and employees against any loss, damages, bodily = injury or=20 death of any person or persons, including, but not limited to, the = employees of=20 Tacoma Power, its customers, or any third party, resulting from or = arising out=20 of or in any way connected with the installation, inspection, = maintenance,=20 testing, use, and operation of Customer=92s = facility.

15. = Customer shall be solely = responsible for=20 securing any and all easements, licenses and permits, or exemptions = therefrom, as may be required by any federal, = state, or=20 local statutes, ordinances or regulations, and hereby represents and = warrants=20 that all such necessary easements, licenses and permits, or exemptions, = have=20 been received, and hereby agrees to and shall indemnify and defend = Tacoma Power,=20 its officers, agents, and employees, from and against any and all losses = or=20 claims resulting from or arising out of Customer=92s performance or = failure to=20 perform under this provision.

16. = Customer shall obtain, at its own = expense,=20 insurance for bodily injury and property damage with a combined single = limit of=20 $ _________, with provisions acceptable to Tacoma Power prior to the = actual=20 interconnected operation of the facility. Such insurance shall be = maintained in=20 full force and effect so long as the facility is interconnected to = Tacoma=20 Power=92s system. Failure to maintain such insurance shall constitute a = breach of=20 contract and shall be sufficient grounds for Tacoma Power to terminate = this=20 Agreement.

A certificate of the insurance = coverage of=20 the Customer shall be authenticated by the proper officer of the insurer = and=20 shall provide that such insurance is in effect at the time of said = certificate=20 and will not be cancelled, limited, or allowed to expire without renewal = until=20 after thirty (30) days=92 advance written notice has been given to = Tacoma=20 Power.

17. = This Agreement may not be assigned = by the=20 Customer to another party except with the written consent of Tacoma = Power, which=20 consent shall not be unreasonably refused.

18. = This Agreement shall be in effect = when signed=20 by the Customer and Tacoma Power for an initial term of one year, and = shall=20 remain in effect thereafter from month to month unless terminated by = either=20 party with thirty (30) days=92 advance written notice to the=20 other.

This Agreement is = effective as=20 of the last date set forth below.
